Terms of Service

Effective 13 October 2026

These Terms of Service (“Terms”) are an agreement between you and MEMPIPE PTE. LTD. (UEN 202636809W), a company incorporated in Singapore (“Mempipe”, “we”, “us”). They apply to your use of the Mempipe website, web app, API, MCP connectors and apps, and any related services (together, the “Service”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal data. It is a notice, not part of these Terms.

If you use the Service on behalf of an organisation, you agree to these Terms for that organisation and confirm you have authority to do so. “You” then means both you and that organisation.

1. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You must give accurate information when you sign up and keep it up to date.
  • You are responsible for keeping your sign-in credentials secure and for all activity under your account. Tell us promptly at hello@mempipe.ai if you believe your account has been compromised.

2. The Service

  • The Service is provided on a best-effort basis. We do not promise that it will be available at any particular time, that it will be uninterrupted, timely, secure or error-free, or that any feature will continue to be offered.
  • We may change, add or remove features, and we may impose or change usage limits, at any time. If we reduce the limits of a paid plan, the reduction applies to you from your next billing period, unless the next point applies.
  • We may reduce or suspend any feature or usage limit immediately, including on a paid plan, where we reasonably need to protect the Service, its security or its operating costs. If that materially reduces a paid plan you have prepaid, and the reduction is not because of your breach of these Terms, we will tell you. You may then cancel that plan by emailing hello@mempipe.ai within 30 days after we tell you. That cancellation takes effect immediately, and we will refund the part of the fee you prepaid for the time remaining after it.
  • Some features may be labelled beta, preview or experimental. They may be incomplete, may change and may be withdrawn without notice.
  • We have no obligation to provide support. Where we do, it is on a best-effort basis.

3. Your content

“Your Content” means the files, text and other material you upload to the Service, or that you or a connected application create in it.

  • You own Your Content. We do not claim ownership of it.
  • You give us permission to handle it. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display Your Content, and to let our service providers do so for us. This includes extracting text, building indexes and search results from it, and sending it to services you connect. The licence lasts as long as needed to provide and secure the Service and to comply with law, and it covers copies that remain in our systems and backups after you delete Your Content.
  • You are responsible for it. You confirm that you have all the rights and permissions needed to upload Your Content and to let us handle it under these Terms. You confirm that it does not infringe anyone’s rights or break any law.
  • Keep your own copies. The Service is not a backup service. You are responsible for keeping independent copies of anything you cannot afford to lose. Section 11 limits our liability if Your Content is lost or damaged.
  • We may remove or disable access to Your Content if we believe it breaks these Terms or the law, or if we are required to.

We do not use Your Content to train AI models.

Intellectual property complaints. If you believe content in the Service infringes your copyright or other rights, email hello@mempipe.ai. Identify the work, the content you believe infringes it, and how to contact you, and confirm you are the rights holder or authorised to act for them. We may remove the content. We terminate the accounts of repeat infringers.

4. AI features and connected assistants

The Service extracts text from documents, searches your files and returns results to AI assistants such as ChatGPT and Claude. Please understand the following:

  • Results may be wrong. Extracted text, search results, citations, summaries and anything an AI assistant produces from Your Content may be incomplete, inaccurate or misleading. You are responsible for checking results before you rely on them. They are not professional advice of any kind.
  • You control what you connect. When you connect an AI assistant or another application to Mempipe, you decide what access to grant. That includes, if you choose it, permission to add, change or delete files. You are responsible for everything that application does with the access you grant, as if you did it yourself.
  • Third parties handle what they receive. Content that a connected assistant or other third-party service receives through the Service is handled by that third party under its own terms and policies. We are not responsible for it.

5. Acceptable use

You must not, and must not let anyone else:

  • break any law, or infringe or misappropriate anyone’s rights, including intellectual property and privacy rights;
  • upload malware, or content that is unlawful, abusive, harassing, defamatory or sexually exploits children;
  • access or attempt to access another user’s account or content without permission;
  • probe, scan, test or bypass the security, authentication, usage limits or other protections of the Service;
  • create multiple accounts, or use automated means to create accounts or organisations, to get more free capacity than the Service gives one person;
  • open a new account to get around a suspension or termination;
  • repeatedly upload and delete content to get around usage limits;
  • overload, disrupt or interfere with the Service or the infrastructure it runs on;
  • scrape or copy the Service, except through the interfaces we provide and within their limits;
  • sell, resell, sublicense, transfer or share your account or access to the Service, or provide it to others as a service, without our written permission;
  • reverse engineer the Service, except where the law does not allow this restriction;
  • use the Service to build a competing product.

We do not pay for unsolicited security or vulnerability reports.

6. Third-party services

The Service relies on, and lets you connect to, services operated by others, such as sign-in providers, payment processors, document extractors and AI providers. Your use of a third-party service you connect is governed by that provider’s terms. We do not control and are not responsible for third-party services, including their availability, accuracy or handling of data you send them.

If you give the in-app agent your own API key for an AI provider, the requests are made under your account with that provider, and you are responsible for the provider’s charges and terms.

7. Plans, fees and payment

  • Some plans are paid. Prices and plan limits are shown on our pricing page and in the app. We may change them. Changes to a paid plan’s price take effect from your next billing period after we tell you about them.
  • Payments are processed by our payment providers. You authorise them to charge your payment method for the plan you choose.
  • Subscriptions renew automatically at the end of each billing period, monthly or yearly, until you cancel. You can cancel or downgrade in the app at any time. Cancellation takes effect at the end of the current billing period, except a cancellation under section 2 after an immediate reduction, which takes effect immediately.
  • Fees are non-refundable, including for partial periods and unused capacity, except where the law requires a refund, where you cancel under section 2 after we immediately reduce your paid plan, or where we end your paid plan under section 9 for a reason other than your breach. In those cases we refund the unused part of any fee you prepaid.
  • Prices exclude taxes unless stated otherwise. You are responsible for any taxes that apply to your purchase, other than taxes on our income.
  • We may suspend or downgrade an account whose payment fails.
  • If you dispute a charge with your card issuer or bank without first contacting us, we may suspend your account while the dispute is open. You remain liable for amounts you owe.

8. Our intellectual property

We, and our licensors, own the Service, including its software, design and branding. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Service under them. They do not transfer any of our rights to you.

If you send us feedback or suggestions, we may use them for any purpose without obligation to you.

9. Suspension and termination

  • You may stop using the Service at any time. You can ask us to delete your account by emailing hello@mempipe.ai from the address you sign in with.
  • We may suspend or terminate your access to the Service, or any part of it, at any time, with or without notice, including if we believe you have broken these Terms, if your use creates risk or harm for us or others, or if we are required to by law.
  • We may also stop offering the Service, or end your account, for any other reason. If that ends a paid plan, section 7 applies to fees you prepaid.
  • After termination, we have no obligation to keep or return Your Content, and we may delete it.
  • Any part of these Terms that by its nature should survive termination does so. That includes your responsibility for Your Content, amounts you owe, and sections 8 and 10 to 15.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL RESULTS FROM IT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS. WE DISCLAIM ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. THIS INCLUDES ANY WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND THAT THE SERVICE WILL BE SECURE, ERROR-FREE OR UNINTERRUPTED, OR THAT YOUR CONTENT WILL NOT BE LOST.

11. Limitation of liability

In these Terms, the “Mempipe Parties” are Mempipe and its directors, officers, employees, affiliates, suppliers and licensors.

11.1 No indirect loss. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MEMPIPE PARTIES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR ANTICIPATED SAVINGS, EVEN IF WE WERE TOLD SUCH LOSS WAS POSSIBLE.

11.2 A cap on everything else. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF ALL THE MEMPIPE PARTIES TOGETHER FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, INCLUDING CLAIMS FOR LOSS OR CORRUPTION OF DATA, IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) US$100.

11.3 How these limits apply. Sections 11.1 and 11.2 apply whatever the legal theory, whether contract, tort (including negligence), breach of statutory duty or otherwise. Each of sections 10, 11.1 and 11.2 is a separate term. If one of them is found unenforceable, the others still apply.

11.4 What these limits do not cover. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, such as liability for death or personal injury caused by negligence, or for fraud. If the law where you live gives you rights that these Terms cannot override, these Terms apply only to the extent the law allows.

12. Indemnity

To the extent permitted by law, you will defend, indemnify and hold harmless Mempipe and its directors, officers, employees and affiliates (the “Indemnified Parties”) from and against any third-party claims, and the resulting losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising out of or relating to:

  • Your Content that infringes anyone’s rights or breaks any law;
  • your misuse of the Service, including through any application you connect to it;
  • your breach of these Terms or of any law; or
  • your infringement of anyone’s rights.

This does not apply to the extent a claim is caused by our breach of these Terms or our negligence. We may take control of the defence of any claim, and you will cooperate with us. You may not settle a claim that affects an Indemnified Party without our written consent.

13. Changes to these Terms

We may change these Terms from time to time. We will post the updated Terms on this page and update the effective date above. If a change is material, we will make reasonable efforts to tell you, for example by email or by a notice in the Service. The changes apply from the effective date shown, but not to a dispute that arose before that date. If you keep using the Service after that date, you accept the updated Terms. If you do not agree to them, you must stop using the Service.

14. Dispute resolution

14.1 Resolve it with us first. Before starting any claim, you agree to email hello@mempipe.ai with a description of the dispute and what you are asking for, and to try in good faith to resolve it with us for 60 days. We agree to do the same before starting a claim against you. The time limit in section 14.9 is paused during those 60 days.

14.2 Arbitration. If the dispute is not resolved within 60 days, any dispute arising out of or relating to these Terms or the Service, including any question about their existence, validity or termination, will be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under its arbitration rules in force at the time. The seat of arbitration is Singapore. There will be one arbitrator. The language is English. The arbitration may be held by video conference or on written submissions only. The proceedings and any award are confidential.

14.3 Small claims. Instead of arbitration, either party may bring an individual claim in the Small Claims Tribunals of Singapore, if the claim is within their jurisdiction.

14.4 Class and jury trial waivers. To the extent permitted by law, you and we may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. This applies to every claim, whatever its size and wherever it is heard, including in arbitration, in the Small Claims Tribunals and in court. Class arbitrations, class actions and representative actions are prohibited. Except as section 14.5 provides, the arbitrator may not consolidate claims of different users or award relief to anyone other than the individual party. You and we each waive any right to a jury trial. A court, not the arbitrator, decides whether this section 14.4 is enforceable. If it is found unenforceable for a particular claim, that claim will be decided by the courts in section 14.8 and not in arbitration.

14.5 Mass filings. Despite section 14.4, if 25 or more similar demands for arbitration under section 14.2 are filed against us by or with the help of the same law firm or coordinated group within any 90-day period, they will be administered in batches of up to 50 demands, with any remainder in a final batch. To the extent SIAC allows, each batch is treated as a single arbitration for procedure and fees, before one arbitrator, while each claim in it is decided individually on its own facts. Batches may proceed at the same time. Limitation periods for demands waiting to be batched are paused until their batch begins. This section applies only to demands for arbitration. It does not apply to claims in the Small Claims Tribunals, claims decided by a court under section 14.4, or claims of users who have opted out under section 14.6.

14.6 Opting out. You may opt out of arbitration under section 14.2 by emailing hello@mempipe.ai within 30 days after you first accept these Terms, stating your name, your account email and that you opt out. If we make a material change to this section 14, you may opt out of the change in the same way within 30 days after we tell you about it. An opt-out stays in effect under later versions of these Terms. Opting out does not affect any other part of these Terms, including section 14.4.

14.7 Urgent relief. Sections 14.1 and 14.2 do not stop either party from seeking urgent interim or injunctive relief from the courts of Singapore. We may also seek it from any court with jurisdiction to stop unauthorised use or misuse of the Service, or infringement of our intellectual property.

14.8 Governing law and courts. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of Singapore. Subject to sections 14.2, 14.3 and 14.7, the courts of Singapore have exclusive jurisdiction, including to enforce any arbitral award.

14.9 Time limit. To the extent permitted by law, any claim must be started within one year after it arises, or it is permanently barred.

15. General

  • Events beyond our control. We are not liable for any delay or failure caused by events beyond our reasonable control, including outages of our providers, network failures, attacks, natural events or acts of government.
  • Entire agreement. These Terms, together with any plan details shown to you when you buy, are the entire agreement between you and us about the Service. They replace any earlier understanding.
  • Separate agreements. A separate agreement for the Service prevails over these Terms where they conflict only if it is a formal written contract signed for Mempipe by a director of Mempipe, and it states that it overrides these Terms. Apart from updates we make under section 13, no other communication or document changes these Terms, including emails, support replies, quotes, purchase orders, or terms in forms you send us. Our support staff cannot agree to change these Terms.
  • Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours, including as part of a merger, acquisition or sale of assets.
  • Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a right is not a waiver of it.
  • Third-party rights. The Mempipe Parties may rely on and enforce section 11, and the Indemnified Parties may enforce section 12. Otherwise, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any of them.
  • Notices. We may send you notices by email to the address on your account or through the Service. You can send notices to us at hello@mempipe.ai.
